This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a M&A Paralegal based in Brazil.

This role offers the opportunity to support complex mergers and acquisitions transactions within a dynamic legal environment.
You will work closely with attorneys and deal teams throughout the full transaction lifecycle, from due diligence to closing.
The position requires strong attention to detail, excellent organization, and the ability to manage multiple priorities simultaneously.

Accountabilities:

In this role, you will provide essential transactional support throughout the M&A lifecycle, helping legal teams execute deals efficiently and accurately. Your responsibilities will include:

  • Reviewing and organizing target company documents, including corporate records, contracts, financial documents, intellectual property filings, and litigation materials during due diligence processes.
  • Identifying potential issues for attorney review and maintaining accurate due diligence checklists and virtual data rooms.
  • Preparing and drafting disclosure schedules related to representations and warranties in purchase agreements.
  • Cross-referencing transaction documents with due diligence findings and client information to ensure accuracy and completeness.
  • Supporting attorneys with the preparation and revision of asset purchase agreements, stock purchase agreements, and related transaction documents.
  • Managing document revisions, preparing redlines, tracking negotiation changes, and maintaining version control throughout deal processes.
  • Coordinating closing activities, including preparation of closing checklists, signature pages, electronic closing sets, and final transaction documentation.
  • Communicating with clients, opposing counsel, and transaction stakeholders to support execution logistics.
  • Preparing ancillary legal documents such as officer certificates, corporate resolutions, good standing certificates, and UCC-related documentation.
  • Maintaining organized electronic deal files and supporting entity formation and governance documentation when needed.
  • Tracking post-closing deliverables and ensuring follow-up items are completed.
  • Requirements:

    The ideal candidate has transactional legal experience, strong organizational skills, and the ability to support multiple M&A matters in a remote, deadline-driven environment. Key qualifications include:

    • Paralegal certificate, degree, or equivalent professional experience.
    • 2+ years of experience as a paralegal within a transactional or corporate legal practice.
    • Direct experience supporting mergers and acquisitions transactions is strongly preferred.
    • Strong understanding of M&A processes, transaction workflows, and standard corporate documents.
    • Excellent written communication skills with exceptional attention to detail.
    • Proficiency with Microsoft Word, including redlining and track changes functionality.
    • Experience using Excel, Google Workspace tools, PDF editing solutions, virtual data rooms, and document management systems.
    • Ability to manage multiple active transactions and competing deadlines effectively.
    • Strong organizational skills with the ability to maintain accurate records and documentation.
    • Ability to work independently in a fully remote environment while collaborating effectively with legal teams.
    • High level of discretion and professionalism when handling confidential client and transaction information.
